Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, products, and services (together, the "Services") provided by Cat Tree Gaming LLC, a limited liability company organized under the laws of the State of Michigan, United States ("Cat Tree Gaming", "we", "us", or "our"). By accessing or using the Services you agree to these Terms. If you do not agree, do not use the Services.

Some Services are offered under their own brands (for example, CHLL Seeding). Unless we say otherwise, these Terms apply to all of them.

1. Eligibility

You may use the Services only if you can form a binding contract with us and are not barred from doing so under any applicable law. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf. You must also comply with the terms of any third-party platform you use to access the Services (including, where applicable, the Discord Terms of Service, the Steam Subscriber Agreement, the Epic Games Store End User License Agreement, and the Microsoft Services Agreement).

2. The Services

We may offer the Services free of charge, on a paid basis, or both, and we may change what is included in any Service over time. Where a Service requires payment, additional terms (such as pricing, billing, and refund terms) will be presented to you before purchase and form part of these Terms for that Service. The Services are provided for your personal or internal business use, not for resale.

3. Acceptable Use

You agree not to:

• use the Services for any unlawful, fraudulent, or abusive purpose;
• attempt to gain unauthorized access to the Services, other users' accounts, or the underlying systems or data;
• interfere with or disrupt the Services, including by overloading, flooding, or circumventing rate limits or other access controls;
• scrape, harvest, or bulk-collect data except through interfaces we provide for that purpose and within their published limits;
• submit false data, manipulate metrics or leaderboards, or impersonate any person or entity;
• reverse engineer, decompile, or attempt to derive source code except to the extent this restriction is prohibited by applicable law; or
• use the Services to harass, abuse, or harm others.

4. Accounts

Some features require an account or signing in through a third-party provider. You are responsible for activity that occurs through your account and for keeping your credentials and any API keys secure. Notify us promptly of any suspected unauthorized use.

5. Intellectual Property

The Services, including their software, text, graphics, and logos, are owned by Cat Tree Gaming or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. We reserve all rights not expressly granted. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction.

6. Third-Party Services and No Affiliation

The Services may integrate with or link to third-party platforms and services. We are not responsible for third-party services, and your use of them is governed by their own terms. Unless expressly stated, our Services are independent and are not affiliated with, endorsed by, or sponsored by any third-party platform, game, developer, or publisher. All trademarks are the property of their respective owners.

7. Availability and Changes

We may modify, suspend, or discontinue the Services, or any part of them, at any time. We may also change these Terms; material changes take effect when we post the updated Terms and revise the "Last updated" date above. Your continued use after changes take effect constitutes acceptance.

8. Termination

We may suspend or terminate your access to the Services at any time, including for any violation of these Terms, with or without notice. You may stop using the Services at any time and may delete your account and associated data as described in our Privacy Policy.

9. No Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CAT TREE GAMING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US TO USE THE APPLICABLE SERVICE IN THE PRECEDING TWELVE MONTHS, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify and hold harmless Cat Tree Gaming and its members, officers, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services or your breach of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in the State of Michigan for any dispute arising from these Terms or the Services.
